These Terms of Service govern your use of AIVZ. They cover what AIVZ provides, what you can and can't do with the service, how billing and refunds work, what happens if something goes wrong, and how disputes are resolved. Enterprise and Agency customers with a separately negotiated Master Service Agreement (MSA) and Data Processing Agreement (DPA) — those negotiated documents control where they conflict with these Terms. Everyone else — these Terms control.
Who's agreeing to what.
By creating an AIVZ account, clicking a button or checkbox indicating acceptance, executing an order form referencing these Terms, or using AIVZ in any way, you agree to these Terms and you represent that:
- You're authorized to bind the entity you're signing up on behalf of (your "Organization") if you're acting in a business capacity. References to "you" mean both you individually and the Organization you're binding.
- You're at least 18 years old.
- You're not located in (or a national of) a country subject to a U.S. Government embargo, and you're not on any U.S. Government list of prohibited or restricted parties.
- You'll comply with all applicable laws in your use of AIVZ.
The contract is between you (the individual user, and if applicable the Organization you bind) and AIVZ — operated by AIVZ, Inc.
What we mean when we say…

Your account.
Account creation
You create an AIVZ account by providing accurate registration information (name, email, password, Organization name where applicable). You agree to keep that information accurate and current.
Account security
You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to use a strong password, enable multi-factor authentication where available, and notify AIVZ promptly at [email protected] if you suspect unauthorized access.
AIVZ is not liable for losses arising from your failure to safeguard credentials, except to the extent caused by AIVZ's failure to meet its security obligations.
Authorized Users
If your Subscription permits multi-user access, you can grant Authorized Users access to your account. You're responsible for ensuring each Authorized User complies with these Terms, for the actions of your Authorized Users, and for revoking access promptly when a user no longer needs it.
Eligibility
AIVZ is not intended for use by individuals under 18, by competitors building competing products, or by parties evaluating AIVZ for the purpose of replicating its functionality.
What AIVZ provides.
Service description
AIVZ is the AI Visibility Command Center. The service diagnoses, orchestrates, and (where adapters are Live) executes improvements to your sites' visibility and citation-readiness across answer engines, search engines, and AI assistants. Specific features available depend on your Subscription tier and the integrations you've enabled.
Integrations and execution surfaces
AIVZ integrates with content management systems, analytics platforms, communication tools, and other services. The current list of integrations and their status (Live, Beta, Roadmap, Documented-but-Unbuilt) lives at /integrations. Customers should not assume capability for any integration not marked Live in that public list.
Scanning publicly accessible URLs
A core function of AIVZ is to retrieve content from URLs you submit. The scanner retrieves only what a public crawler would retrieve — it doesn't bypass authentication, robots.txt directives (where you've configured AIVZ to honor them), or other access controls. You represent that you have the right to submit each URL you submit to AIVZ for scanning.
AI-generated content
Some AIVZ features generate content (e.g., schema markup recommendations, summary blocks, content rewrites) using third-party AI models. AIVZ provides this content "as-is" and recommends customer review before publishing AI-generated content to your customer-facing surfaces. AIVZ doesn't represent that AI-generated content is fact-checked, plagiarism-free, brand-safe, or compliant with any specific regulatory framework.
No professional advice
AIVZ is a software service, not a legal, financial, medical, or compliance advisor. Recommendations AIVZ generates are operational guidance based on AIVZ's methodology, not professional advice you should rely on without your own assessment.
What you can't do with AIVZ.
You agree not to:
- Submit URLs you don't have the right to submit. This includes scanning sites you don't own or operate without the operator's permission.
- Use AIVZ to violate any law — including data-protection law, anti-spam law, securities law, consumer-protection law, IP law, or competition law.
- Use AIVZ to harass, defame, threaten, or harm any individual or organization.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of AIVZ, except to the extent applicable law expressly prohibits restriction.
- Build a competing product by using AIVZ outputs as training data for a competing AI-visibility platform.
- Resell or redistribute AIVZ access outside the scope of your Subscription. Agency tier customers are permitted to deliver AIVZ-derived services to their clients per the Agency tier's Terms.
- Probe, scan, or test the vulnerability of AIVZ infrastructure without authorization, except via AIVZ's responsible-disclosure program.
- Interfere with or disrupt AIVZ — DDoS, rate-limit evasion, scraping AIVZ's UI to circumvent API rate limits, etc.
- Submit content that's illegal, infringing, harmful, harassing, hateful, sexually explicit, or that violates any third party's rights.
- Misrepresent your identity or your authority to bind an Organization.
Violating these rules is grounds for suspension or termination.
Your data, your content, who owns what.
Ownership
You own your Customer Content. Submitting Customer Content to AIVZ doesn't transfer ownership to AIVZ.
License you grant to AIVZ
To deliver the service, you grant AIVZ a limited, non-exclusive, royalty-free, worldwide license to host, store, process, transmit, display, and modify your Customer Content solely as necessary to provide the service and subject to the Privacy Policy. This license terminates when you terminate your account, except as needed for AIVZ's legitimate retention purposes.
AIVZ doesn't train on Customer Content
AIVZ does not use Customer Content to train AIVZ's own AI models, and AIVZ does not provide Customer Content to third-party AI providers for the purpose of training those providers' models. Where AIVZ uses third-party AI APIs to deliver service features, AIVZ uses those APIs under the API providers' standard "no training" terms.
Data Processing
When AIVZ processes personal data on your behalf, AIVZ acts as a Processor and you act as a Controller (under GDPR). The relationship is governed by AIVZ's Data Processing Agreement (DPA), available on request from [email protected].
Aggregated and anonymized data
AIVZ may use aggregated, anonymized, or de-identified data derived from Customer Content for product improvement, benchmarking, research, and marketing — provided the data cannot reasonably be re-identified as belonging to any individual customer. This is a category-level use, not customer-level use.
Customer Content removal
You can delete Customer Content from AIVZ at any time through the application, or by emailing [email protected].
AIVZ's IP, your IP.
AIVZ IP
AIVZ owns all rights to the AIVZ platform, including the AIVZ application, the AIVZ scanners, the AIVZ scoring methodology (the AI Visibility Stack, the 93-Factor Taxonomy, the Citation Core 11, and all associated rubrics and weights), the AIVZ brand, trademarks, logos, and documentation. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the platform per your Subscription tier — they don't grant you any ownership or other rights to AIVZ IP.
Customer IP
You retain all rights to your Customer Content, your trademarks, your brand, and your other intellectual property.
Feedback
If you provide feedback, suggestions, ideas, or feature requests to AIVZ, you grant AIVZ a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into AIVZ without obligation to you.
Trademarks
AIVZ trademarks include "AIVZ" and any AIVZ logos. Use of AIVZ trademarks requires AIVZ's prior written permission, except for nominative fair use.
DMCA / copyright complaints
AIVZ responds to valid DMCA takedown notices for content hosted on AIVZ infrastructure. To file a notice, email [email protected] with the elements required under 17 U.S.C. § 512(c)(3).
Pricing, billing, refunds, cancellation.
Subscription tiers
AIVZ's Subscription tiers, what each tier includes, and the published pricing live at /pricing. By subscribing, you agree to the fees and inclusions of your selected tier as published at the time of subscription.
Billing
- Self-serve tiers: Billed in advance on a monthly or annual cycle (your choice at signup). Annual cycles receive the published discount.
- Enterprise / negotiated tiers: Billed per the Order Form (typically annually, in advance).
Payment is processed by AIVZ's payment subprocessor. All fees are in U.S. dollars unless your Order Form specifies otherwise. Fees are non-refundable except as expressly provided below.
Auto-renewal
Subscriptions auto-renew at the end of each billing cycle at the then-current published rate, unless you cancel before the renewal date. We send a renewal notice 30 days before each renewal.
Refund policy
- Annual subscriptions: Within 14 days of initial purchase or initial annual renewal, you may request a full refund by emailing
[email protected]. After 14 days, no refunds for the remaining annual term. - Monthly subscriptions: Non-refundable. You may cancel to prevent future renewals.
- Material service failure: If AIVZ materially fails to deliver service for 30+ consecutive days due to AIVZ's fault, you may request a pro-rata refund of pre-paid fees.
Cancellation
You can cancel at any time through the application's billing settings, or by emailing [email protected]. Cancellation takes effect at the end of the current billing cycle.
Taxes
Fees are exclusive of taxes. You're responsible for sales, VAT, GST, and other applicable taxes, except taxes on AIVZ's net income.
Late payment
If a payment fails, AIVZ will retry per the payment subprocessor's standard schedule and notify you. If payment isn't successful within 14 days of the original attempt, AIVZ may suspend the account. After 30 days of unpaid balance, AIVZ may terminate the account.
Price changes
AIVZ may change published pricing for new subscriptions at any time. Existing subscriptions are honored at the rate in effect at signup or last renewal until the next renewal date. We'll notify you at least 30 days before a renewal at a new rate; you can cancel before renewal to avoid the new rate.
Free tier and trials.
Free tier
AIVZ offers a free tier with limited functionality (currently: 5 scan credits and a subset of features, per /pricing). The free tier is provided "as-is" without service-level commitments.
Trials
If AIVZ offers a paid-tier trial, the trial converts to a paid Subscription at the end of the trial period unless you cancel before then. We'll send reminders before conversion.
No SLA on free / trial
Service-level commitments and limitation of liability apply to free and trial use, but AIVZ's monetary liability for free or trial use is limited to $100 or the amount you paid in the prior 12 months, whichever is greater. Service-level credits don't accrue on free or trial use.
Uptime, support, and the scope of "We Do It" claims.
Uptime
AIVZ targets 99.9% monthly uptime for the AIVZ application and the AIVZ scanner endpoint. Uptime excludes scheduled maintenance (announced at least 48 hours in advance), force majeure events, issues caused by Customer Content / Customer's network / Customer's third-party integrations, and free-tier or trial use.
For Enterprise customers, the uptime target and any service-level credits are governed by the negotiated MSA.

Scope of "We Do It" execution claims
AIVZ markets certain capabilities as "We Do It" — meaning AIVZ executes the change on your behalf rather than just recommending it. The scope of "We Do It" execution claims is per-platform, and only applies where the relevant platform adapter has been published as Live in the AIVZ Integrations Canon and at /integrations. Where an adapter is marked Beta, Roadmap, or Documented-but-Unbuilt, AIVZ provides recommendations rather than execution.
When things change.
Service changes
AIVZ improves, modifies, and (occasionally) discontinues features. We'll notify you of material changes that adversely affect your subscription value at least 30 days in advance and, where reasonable, provide alternatives or migration paths.
Terms changes
We'll update these Terms when our practices change or when applicable law requires. For material changes: the effective date at the top is updated, customers are notified by email at least 30 days in advance, and continued use after the effective date constitutes acceptance.
If you don't accept a material change, you can terminate your subscription before the effective date and request a pro-rata refund of pre-paid fees for the unused portion of the term.
When access ends.
Termination by you
You can terminate by canceling your subscription or by emailing [email protected]. On termination, you lose access to the service at the end of the current billing cycle.
Termination by AIVZ for cause
AIVZ can suspend or terminate your account immediately if you materially breach these Terms, your account is used for illegal activity, a regulator/court/law-enforcement authority directs AIVZ to suspend access, your payment is past due, or required by force majeure (suspension only).
Termination by AIVZ for convenience
AIVZ may terminate any free-tier or trial account at any time without cause. AIVZ may terminate paid subscriptions for convenience by giving 60 days' notice and providing a pro-rata refund of pre-paid fees attributable to the post-termination period.
Effect of termination
On termination, your access ends, outstanding fees become immediately due, and sections that by their nature should survive — IP, aggregated/anonymized data, warranty disclaimers, limitation of liability, indemnification, dispute resolution, miscellaneous — survive.
Data export and deletion on termination
For 30 days after termination, you can export your Customer Content via the application's export tools or by emailing [email protected]. After 30 days, AIVZ deletes Customer Content per the Privacy Policy retention schedule.
Disclaimers.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, AIVZ IS PROVIDED "AS-IS" AND "AS AVAILABLE." AIVZ DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, AIVZ DOESN'T WARRANT THAT:
- The service will be uninterrupted, error-free, or secure beyond the express commitments in the service-levels section
- AIVZ's recommendations, scoring, or analyses will produce specific business outcomes
- AI-generated content will be accurate, brand-safe, plagiarism-free, or legally compliant
- The service will continue to integrate with any specific third-party platform
Some jurisdictions don't allow disclaimer of implied warranties; in those jurisdictions, the above disclaimers apply to the maximum extent permitted by law.
Limits on what either side can recover.
Excluded damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Cap on direct damages
EACH PARTY'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID AIVZ IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Carve-outs
The limitations above don't apply to: customer's payment obligations; customer's indemnification obligations; either party's indemnification obligations for IP infringement; either party's gross negligence or willful misconduct; liability that cannot be limited under applicable law.
Why this exists
These limits reflect the agreed allocation of risk between the parties and are a fundamental part of the bargain — if these limits weren't in place, AIVZ couldn't offer the service at the prices we charge.
Indemnification.
Customer indemnification
You'll defend, indemnify, and hold harmless AIVZ and its officers, directors, employees, and agents from any third-party claim arising from your Customer Content, your use of AIVZ in violation of these Terms, your violation of applicable law, your violation of third-party rights, and your representations that you have the right to submit URLs you submit.
AIVZ indemnification
AIVZ will defend, indemnify, and hold harmless you and your Authorized Users from a third-party claim that the AIVZ platform (as provided by AIVZ and used in accordance with these Terms) infringes the third party's IP rights. This obligation does not apply to claims arising from your Customer Content, your use of AIVZ in combination with non-AIVZ products, modifications to AIVZ not made by AIVZ, or use of AIVZ after AIVZ has notified you to stop.
Indemnification process
The indemnified party will: (a) promptly notify the indemnifying party of the claim, (b) give the indemnifying party sole control of the defense and settlement, and (c) cooperate at the indemnifying party's expense.
AIVZ's IP infringement remedies
If AIVZ's service is held to infringe (or AIVZ believes it may be held to infringe), AIVZ may, at its option: (a) modify the service to be non-infringing, (b) procure the right for you to continue using the service, or (c) terminate the service and refund pre-paid fees attributable to the post-termination period. This is your sole remedy and AIVZ's sole liability for IP infringement claims against the AIVZ service.
If we disagree.
Informal resolution
Before filing a formal dispute, the parties will attempt to resolve disagreements informally — for at least 30 days — by written notice to [email protected] (for AIVZ) or to the customer's contact email (for AIVZ-initiated disputes).
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
Arbitration / forum
Disputes not resolved informally will be resolved by binding individual arbitration administered by JAMS under its applicable rules, with a small-claims court carve-out. The arbitration will take place in Delaware unless the parties agree otherwise.
Class action waiver
You and AIVZ each waive any right to bring or participate in a class, collective, or representative action against the other.
Equitable relief
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect IP rights or Confidential Information, without first invoking informal resolution or arbitration.
The fine print.
Entire agreement
These Terms (together with the Privacy Policy, the DPA where applicable, and any Order Form) are the entire agreement between you and AIVZ regarding the service.
No waiver
Failure by either party to enforce any provision isn't a waiver of that provision.
Severability
If any provision is held unenforceable, the rest of the Terms remain in effect, and the unenforceable provision is reformed to the minimum extent necessary to make it enforceable while preserving its intent.
Assignment
You may not assign these Terms without AIVZ's prior written consent. AIVZ may assign these Terms in connection with a merger, acquisition, financing, or sale of substantially all assets — with notice to you.
Notices
Notices to AIVZ: [email protected]. Notices to you: the email address on your account, or in-application notification, at AIVZ's option.
Force majeure
Neither party is liable for delays or failures arising from causes beyond its reasonable control (natural disasters, war, terrorism, civil unrest, government action, internet/utility failures, third-party-service failures, pandemic, etc.).
Independent contractors
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship.
No third-party beneficiaries
These Terms don't confer rights on any third party (other than AIVZ's affiliates as expressly provided).
Export controls
You'll comply with U.S. export controls (EAR, OFAC sanctions) and the export controls of any other applicable jurisdiction in your use of AIVZ.
Government use
If you're a U.S. federal agency, AIVZ is licensed to you as "Commercial Computer Software" per FAR 12.212 and DFARS 227.7202.
Language
These Terms are written in English. Any translation is for convenience only; the English version controls.
